Today the Council of the European Union finalised the adoption of the directive that seeks to facilitate the “mobility” of companies within the European area, while guaranteeing the rights of different stakeholders, notably workers and their representatives. The text that was definitively adopted today is the result of a compromise between different EU institutions (see article n° 11069). The next step is for the text to be published in the EU’s official journal.
In a statement published today, the European Commission highlights that the aim of the directive is to provide “clear harmonised procedures for companies to merge, divide or move within the Single Market”, while ensuring “strong safeguards to protect employees’ rights, especially to be informed, consulted and to participate in the boards of companies, as well as rights of minority shareholders and creditors during cross-border operations”.
