Dutch works councils should get the right to express opinions during general meetings. A bill along those lines was presented on December 8 by Hirsch Ballin, Justice Minister, and Piet Hein Donner, Minister for Labor and Social Affairs. Works council may express their stands on appointments, departures and remuneration of members of the board and of the supervisory board. (Ref. 080996)
Shareholders will
not have to follow this opinion, but the council will have to be consulted, an obligation which
is now statutory, before any “major decision” can be voted by the shareholders.
This major decisions concern the company’s strategy, the appointment,
suspension or dismissals or board members, as well as decisions related to
managers’ remuneration policies. The bill concerns the 90 companies listed on
