Germany: the good governance committee wants to encourage businesses to increase the number of women within boards

Promote diversity. Created in September 2001 by the German Department of Justice, the committee on good government reviews, once a year and where appropriate, the “German Code of Corporate Governance” (Deutscher Corporate Governance Kodex). Enforced in 2002, this code notably contains a series of recommendations in terms of good governance and responsible management for businesses (see our dispatch No. 070570). Once a year, businesses listed on the stock exchange have to report to what extent they respected these recommendations. A spokesman said that the committee, presided by Klaus-Peter Müller, who is also the chairman of the board at the Commerzbank, set, as early as 2008, diversity as one of his priorities. In May 2009, it revised the code, advising that businesses ensure “adequate representation” of women and international experts within the supervisory board. This year, during plenary meeting at the end of May, the committee wants to go even further and give its recommendation substance. Thus, it wants force businesses to publish, once a year, their diversity targets for their boards, the deadlines to achieve them, and the reasons why they couldn’t achieve them.
