Handling only the commercial law aspect of the European company (EC), the decree published in the Official Journal of last 16 April defines the administrative and publicity formalities to be achieved in order to create a European company, or when the headquarters is transferred. (Ref. 06377)
Decree n°2006-448 on the European company introduces into decree 67-236 on commercial companies:
- conditions of publicity and protection of third parties’ rights in the event of transfer of headquarters,
- documents to be deposited to the notary in charge of checking the legality of the operations when the European company is created via a merger.
