Belgium: a draft bill to transpose the directive on takeover bids

A draft bill aimed at transposing the European directive 2004/25 of April 21st 2004 regarding takeover bids, was approved by the Council of ministers of October 6th 2006. The trade union confederation (FGTB) is delighted by the provisions on workers' information and consultation. (Ref. 061012)

The draft bill aims « at updating regulations on takeover bids and repeats some provisions concerning the bid procedures and the publication of information », the government explains. The plan sets a 30 % threshold above which it is compulsory to launch a bid. Moreover, the draft plan uses the option given by the directive to Member States : when transposing, they can put provisions on workers’ information.
