France: the ordinance transposing the EWC (recast) Directive was published

Takeover bids.  As a general rule, the ordinance is quite close to the wording of the Directive, except that it introduces a provision, as it happens based on an existing rule for French works councils, which provides that, “The head of the Community-scale undertaking or group of undertakings making a public purchase offer on the capital of a company is not bound to consulting the European works council or the employee representatives within the framework of an information and consultation procedure before making the offer.”  However, the head of the company shall gather the Council “as soon as possible following the publication of the offer allowing for effective presence of the members with a view to providing them written and precise information as regards the content of the offer and its potential impact on employment.”
