Gras Savoye: agreement establishing the EWC

The new EWC affects all EU countries where the group has at least one subsidiary “whose accounts and annual totals are included in mandatory accounting consolidation.” When the group’s legal structure is significantly changed, the agreement provides that any company entering the scope will be included in the EWC the year after the first accounting consolidation of a complete financial year, and any outgoing firm will immediately cease to be represented within the EWC. On the other hand, in the prevailing company changes – the representation of Gras Savoye in France – the Council will be included, until the end of its term, into the European Council of the new entity, if there is one. In the absence of a EWC, this change will lead to a right of denunciation and the agreement will stop being effective after a certain time.
